The terms used herein shall, unless the context otherwise stated, bear the same meaning as those defined in the announcement dated 8 December 2010 in relation to the Proposals.

We refer to our announcements dated 8 December 2010, 13 December 2010, 4 January 2011 and 24 January 2011 on the above.

On behalf of the Board of Directors of BIG, PM Securities wishes to announce that the SC had, vide its letter dated 2 March 2011, which was received on 7 March 2011, approved the issuance of the ICULS pursuant to the Proposed Rights Issue and is subject to the following conditions:

(i) PM Securities to ensure that details on the utilisation of proceeds be made available to relevant parties, including the Trustee, in a timely manner prior to the implementation of the ICULS;

(ii) PM Securities and BIG to obtain the SC’s prior approval should there be any changes to the principal terms and conditions (“PTC”) prior to the implementation of the ICULS;

(iii) PM Securities to submit the following information or documents to the SC prior to the implementation of the ICULS:

(a) Issue date, tenure of issue and issue size;

(b) A certified true copy of the executed Trust Deed; and

The issue date, tenure of issue and issue size;
The executed Trust Deed; and
The PTC for the ICULS in the following format:
- Font: Arial
- Font Size: 11
- Margins (Top, Down, Right, Left): 1.25″
- Spacing: Single;

(iv) BIG to obtain all necessary approvals from all relevant parties in relation to the ICULS and PM Securities to submit a written confirmation on the same to the SC prior to the implementation of the ICULS; and

(v) PM Securities is required to remind all relevant parties including BIG and the Trustee for the ICULS of the need to observe and fully comply with all statutory requirements, in particular, those set out in Division 4 of Part VI of the Capital Markets and Services Act 2007.
